Welcome to Homa! These Terms of Use (the “Terms”) govern your access to and use of the Homa website, mobile applications, and related services (collectively, the “Platform”) operated by Homa AI, Inc. (“Homa,” “we,” “us,” or “our”). Brokerage services under the Homa Pro tier are provided by our licensed subsidiary, Homa Realty, Inc. (collectively, “Homa Entities”). By using the Platform, you agree to these Terms.
1. Overview
Homa is a digital real estate platform designed to help home buyers navigate the home buying process with transparency and confidence. We offer two service tiers:
Homa (Free) – A self-guided experience providing tools, market data, and AI-driven insights to help you analyze homes, calculate offer prices, and manage your home search independently. Under this tier, Homa does not act as your real estate broker, agent, or fiduciary.
Homa Pro – A full-service experience where Homa Realty, Inc., or one of its partner brokerages, may act as your transaction broker for specific properties, helping you communicate with the seller’s agent, submit offers, and close on your purchase. When a buyer’s agent commission is offered, Homa rebates that amount to you less a service fee, subject to lender and state law restrictions.
2. Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts. Homa Pro services are available only in states where Homa Realty, Inc. or its partners are properly licensed, including Florida.
3. Florida Real Estate Law Disclosure
Florida law requires that real estate licensees provide this notice to buyers and sellers of real estate:
FLORIDA LAW REQUIRES THAT REAL ESTATE LICENSEES ADVISE PROSPECTIVE CUSTOMERS OF THE VARIOUS TYPES OF BROKERAGE RELATIONSHIPS THAT ARE AVAILABLE.
When you use Homa Pro, Homa Realty, Inc. and its representatives may act as transaction brokers in Florida under Chapter 475 of the Florida Statutes. A transaction broker provides a limited form of representation to a buyer, a seller, or both in a real estate transaction but does not represent either party in a fiduciary capacity.
Transaction brokers owe the following duties to both parties:
Dealing honestly and fairly;
Accounting for all funds;
Using skill, care, and diligence in the transaction;
Disclosing all known facts that materially affect the value of the property and are not readily observable;
Presenting all offers and counteroffers in a timely manner; and
Limited confidentiality, unless waived in writing.
When using Homa (Free), no brokerage relationship exists. Homa provides only tools, data, and educational resources for informational purposes.
4. Scope of Services
4.1 Homa (Free)
Homa provides AI-powered tools to help you search, analyze, and evaluate properties. Homa does not represent you in any transaction. All decisions, negotiations, and communications with sellers or agents are your responsibility.
4.2 Homa Pro
When you upgrade to Homa Pro and sign a Buyer Broker Agreement, Homa Realty, Inc. (or, in some cases, a third-party licensed brokerage partner) may act as your transaction broker for the covered property.
In certain transactions, Homa may refer you to a partner brokerage that will serve as the transaction broker or buyer’s broker of record. In such cases, Homa’s role is limited to making the introduction, and the partner brokerage—not Homa—will be responsible for performing brokerage duties, drafting agreements, and complying with all applicable state licensing laws.
Homa and its affiliates may receive a referral fee or other compensation from such partner brokerages, as permitted under applicable law. You will be informed when a referral is made to a third-party brokerage, and Homa will not be a party to any brokerage agreement you sign directly with that brokerage.
Homa assists in offer drafting, communication with the seller’s agent, inspection coordination, and closing when it is serving as the transaction broker. When Homa refers you to a partner brokerage, Homa’s involvement is limited to support and platform facilitation only.
Homa Realty, Inc. or its partner brokerage will receive any buyer’s agent commission offered by the seller or listing broker at closing. That amount will be rebated to you less the service fee specified in your Buyer Broker Agreement. Rebates are credited as a closing cost credit or post-closing payment, where permitted by law and your lender.
5. AI and Automated Insights Disclaimer
Homa provides AI-generated insights, property analysis, and estimated offer pricing based on available data. These outputs are for informational purposes only and do not constitute professional advice or guarantees. Real estate market conditions, property disclosures, and pricing are subject to change. You are responsible for verifying all property details independently. All AI-generated offers, contracts, and analyses must be reviewed and approved by you before submission.
6. No Legal, Financial, or Appraisal Advice
Homa is not a law firm, accounting firm, or financial advisor. Information provided on the Platform is not a substitute for professional advice. We recommend consulting licensed attorneys, inspectors, surveyors, and financial professionals before making real estate decisions.
7. Property and Transaction Disclaimers
7.1 Title Evidence
Homa does not provide title evidence or title insurance. You are responsible for obtaining title searches and title insurance from a licensed title company or closing agent.
7.2 Survey and Boundaries
Homa does not conduct or review property surveys. Buyers are responsible for obtaining surveys or other boundary documentation from licensed surveyors and verifying property lines and encroachments.
7.3 Property Condition
Homa does not perform or arrange property inspections under the Homa (Free) tier. For Homa Pro users, your assigned transaction broker may help schedule inspections, but all inspections and due diligence are your responsibility.
7.4 Appraisal
Homa does not perform appraisals or guarantee property values. Any price estimates, valuation data, or market insights provided by Homa or its AI tools are for educational and informational purposes only.
7.5 Financing and Mortgage Partners
Homa is not a mortgage lender or broker and does not issue loan commitments or make credit decisions. We may refer you to independent mortgage lenders or brokers ("Mortgage Partners") who offer financing options.
Homa AI, Inc. and/or its affiliates may receive compensation or other benefits from these Mortgage Partners in connection with your referral or completed loan, as permitted under applicable law, including the Real Estate Settlement Procedures Act (RESPA).
Homa’s participation in such programs does not increase the cost of your loan or affect your interest rate or loan terms. You are under no obligation to use any referred lender and are encouraged to compare loan options and consult independent financial professionals before proceeding with any mortgage.
Any compensation received by Homa from Mortgage Partners will be disclosed as required by law.
7.6 Title and Closing Coordination
Homa does not serve as your closing agent. Closing activities are handled by licensed title companies or attorneys, as required by state law.
7.7 Escrow and Funds Handling
Homa does not directly hold or control earnest money deposits, escrow funds, or any client trust accounts. All funds are managed through licensed title companies, escrow agents, or attorneys in accordance with applicable laws.
7.8 Insurance Disclaimer
Homa does not provide or sell insurance of any kind, including but not limited to homeowners, title, or hazard insurance, and makes no representations regarding coverage, eligibility, or claims. You are solely responsible for obtaining appropriate insurance coverage from licensed providers.
7.9 Hold Harmless for Third-Party Service Providers
Buyer and Seller agree to hold harmless and release Homa AI, Inc., Homa Realty, Inc., and their affiliates, officers, and agents from any liability or responsibility arising from the acts, omissions, or performance of any third-party individuals or companies referred by Homa or its representatives. This includes, but is not limited to, contractors, inspectors, decorators, repair professionals, cleaning services, pest control companies, home warranty providers, insurance agents, mortgage lenders, title companies, closing agents, or any other service providers engaged by the user.
All such third-party providers are independent entities and are not employees, agents, or subcontractors of Homa. You are encouraged to conduct your own due diligence and verify licensing, credentials, and insurance coverage of any service provider before engaging their services.
8. Fair Housing and Non-Discrimination
Homa Realty, Inc. complies fully with the Fair Housing Act and all applicable state and federal anti-discrimination laws. We do not discriminate based on race, color, religion, sex, disability, familial status, national origin, sexual orientation, or gender identity.
9. Accessibility
Homa is committed to providing a website and platform that are accessible to all users, including those with disabilities. If you experience any difficulty accessing content or functionality, please contact us at contact@tryhoma.com so we can assist you.
10. Accuracy of Information
While Homa strives to provide accurate and up-to-date information, property listings, prices, and market data are sourced from third parties and may contain errors or omissions. Homa makes no warranty regarding the accuracy, completeness, or reliability of any content.
11. Acceptable Use Policy
You agree not to:
Use the Platform for unlawful, misleading, or fraudulent purposes;
Interfere with or disrupt the Platform’s functionality or servers;
Copy, scrape, or harvest MLS data or content for resale;
Reverse-engineer or attempt to derive source code from Homa’s systems;
Upload malicious code or attempt to compromise security features;
Use automated systems (bots or crawlers) without written permission.
12. Intellectual Property and Ownership
All content, software, data, and trademarks on the Platform are owned by Homa AI, Inc. or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Platform solely for your personal home search and transaction purposes. You may not reproduce, distribute, or modify any Homa content without prior written consent.
AI-generated text, pricing insights, and property analyses produced through Homa remain Homa’s intellectual property, though you may use outputs for personal decision-making and documentation related to your home purchase.
13. User-Generated Content and Feedback
By submitting data, notes, feedback, ideas, or uploaded documents to Homa, you retain ownership of your content but grant Homa a non-exclusive, royalty-free, perpetual license to use, reproduce, and adapt it for operating and improving the Platform. You represent that any submitted materials do not violate others’ rights or applicable laws. Homa may use feedback or ideas you provide without any obligation to compensate you.
14. Privacy, Data, and Communications Consent
Your privacy is important to us. Please review our Privacy Policy for information on how we collect, use, and share your data. By using Homa, you consent to data processing as described in our Privacy Policy.
By providing your contact information, you consent to receive transactional and marketing communications from Homa via email, text message, or phone. You may opt out at any time.
15. Third-Party Links and Services
The Platform may include links or integrations with third-party services (e.g., Showami, Clerk, mortgage lenders, or inspection providers). Homa is not responsible for the content, products, or performance of third parties. Your interactions with third-party services are governed by their respective terms.
16. Platform Availability and Modifications
Homa reserves the right to modify, suspend, or discontinue any feature or portion of the Platform at any time without notice. We may also update these Terms periodically; material updates will be communicated through the Platform or by email.
17. Warranty Disclaimer
The Platform and all content are provided “as is” and “as available,” without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Homa does not warrant that the Platform will be uninterrupted, error-free, or secure.
18. Limitation of Liability
To the maximum extent permitted by law, Homa AI, Inc., Homa Realty, Inc., their affiliates, and agents are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Platform or participation in a real estate transaction.
19. Indemnification
You agree to indemnify and hold harmless Homa AI, Inc., Homa Realty, Inc., their affiliates, partners, and agents from any claims, losses, or damages arising out of your use of the Platform, your breach of these Terms, or your participation in any transaction facilitated through Homa.
20. Dispute Resolution and Arbitration Agreement
Informal Resolution.
Before filing a claim against Homa, you agree to attempt to resolve the dispute informally by contacting contact@tryhoma.com. Most concerns can be resolved quickly without formal proceedings.
Binding Arbitration.
If a dispute cannot be resolved within 30 days, you and Homa agree to resolve any claim, dispute, or controversy arising out of or relating to these Terms or your use of the Platform through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect.
Arbitration shall take place in Hillsborough County, Florida, unless both parties agree to a virtual or remote proceeding. The arbitration shall be conducted by a single neutral arbitrator, and the arbitrator’s decision will be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.
Costs.
Homa will pay all arbitration filing fees and arbitrator compensation for claims totaling less than $10,000 unless the arbitrator determines your claim was frivolous. Each party will bear its own attorneys’ fees unless otherwise required by applicable law.
Small Claims Exception.
Either party may bring an individual action in small claims court for disputes within that court’s jurisdiction.
Class Action and Jury Trial Waiver.
You and Homa agree that any claims shall be brought only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. You also waive any right to a jury trial in any proceeding.
Equitable Relief.
Notwithstanding the foregoing, Homa may seek injunctive or other equitable relief in court to prevent misuse of its intellectual property or confidential information.
21. General Terms
Severability and Survival: If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Sections related to limitation of liability, indemnification, dispute resolution, and confidentiality survive termination.
Entire Agreement: These Terms constitute the full agreement between you and Homa regarding your use of the Platform.
Waiver: Failure to enforce any right does not constitute a waiver of future enforcement.
Updates to Terms: Homa may update these Terms periodically. Continued use after updates constitutes acceptance of the revised Terms.
Conflicts of Interest: Homa may have business relationships with third-party service providers, including lenders, title companies, and inspectors, from which Homa may receive compensation. These relationships do not affect the recommendations or options made available to users.
Brokerage License Disclosure: Brokerage services in Florida are provided by Homa Realty, Inc., License # [Insert License Number].
22. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.
23. MLS and Data Licensing Notice
Homa AI obtains property information from public records, Multiple Listing Services (MLSs), and third-party data providers who also source their information from public records and other authorized data sources.
All information obtained through Homa AI’s platform, website, and services is intended solely for your personal, internal use in connection with evaluating, purchasing, or selling real property and may not be disseminated, sublicensed, leased, resold, or reproduced without express written permission from Homa.
You agree and represent that you will:
Use Homa’s platform, website, and services only as authorized under these Terms;
Comply with all usage restrictions set forth herein;
Not sublicense, lease, or resell Homa’s services or data except as expressly permitted; and
Not copy, distribute, or otherwise share data except in connection with your own evaluation of real property for potential purchase or sale.
Certain property listing data and public record data displayed on the Platform are owned by their respective MLSs and licensors. All copyrights, database rights, and intellectual property rights in such data remain with their respective owners. Listing data is provided for consumer personal, non-commercial use only and may not be used for any purpose other than to identify prospective properties for purchase.
Homa and its data providers make no representations or warranties as to the accuracy, completeness, or timeliness of the data provided and expressly disclaim any warranties of merchantability or fitness for a particular purpose.24. Contact
